NETRIDIUM ACCEPTABLE USE POLICY

This Acceptable Use Policy ("AUP") governs use of the Netridium Service. It is incorporated by reference into, and forms part of, the Netridium Terms of Service (the "Terms"). Capitalized terms used but not defined here have the meanings given in the Terms.
This AUP applies to Customer and to every User that Customer authorizes, including — where Customer is a consultancy, accounting firm, or managed service provider — the personnel of Customer's own clients. Customer is responsible for ensuring that all of its Users comply with this AUP.
A violation of this AUP is a breach of the Terms and may result in suspension or termination as described in Section 8 below and in Sections 2.7 and 9 of the Terms.
1. GENERAL PRINCIPLE
The Service is a governed environment in which Customer authors and runs its own Prompts, Scripts, and Agents against systems Customer connects. With that capability comes responsibility: Customer must use the Service lawfully, must only act on systems and data it is authorized to act on, and must not use the Service to harm Netridium, other customers, or third parties.
2. PROHIBITED USES — LEGAL AND CONTENT
Customer and its Users will not use the Service to:
2.1 violate any applicable law, regulation, or third-party right, or to further any illegal activity;
2.2 infringe or misappropriate any patent, copyright, trademark, trade secret, or other intellectual property or proprietary right;
2.3 create, transmit, store, or process material that is unlawful, defamatory, harassing, abusive, threatening, or that violates the privacy or publicity rights of others;
2.4 generate, facilitate, or distribute content that is unlawful under applicable law, including child sexual abuse material, unlawful discrimination, or unlawful incitement; or
2.5 submit to the Service any protected health information, payment card data, government identification numbers, biometric data, children's data, or other restricted data except as expressly permitted under Section 11.4 of the Terms.
3. PROHIBITED USES — SECURITY AND PLATFORM INTEGRITY
Customer and its Users will not:
3.1 circumvent or attempt to circumvent tenant isolation, role separation, authentication, rate limits, metering, budgets, run limits, or any other technical or security control of the Service;
3.2 access or attempt to access another tenant's data, Prompts, Scripts, Credentials, logs, or account, or any part of the Service not intended for Customer;
3.3 probe, scan, or test the vulnerability of the Service, or breach or attempt to breach its security or authentication measures, except under a testing program Netridium has authorized in writing;
3.4 introduce or transmit any virus, worm, malware, or other malicious or harmful code, or use the Service to do so against any Customer System or third party;
3.5 reverse engineer, decompile, or attempt to derive the source code, models, or underlying structure of the Service, except to the extent this restriction is unenforceable under applicable law;
3.6 use the Service to develop, train, or fine-tune a machine-learning model on the Service's own outputs, structure, or behavior, or to build or benchmark a competing product without Netridium's prior written consent; or
3.7 resell, sublicense, timeshare, or offer the Service as a service bureau except as expressly permitted in Section 2.4 of the Terms.
4. PROHIBITED USES — CONNECTED SYSTEMS AND AUTHORITY
Because the Service acts on systems Customer connects, Customer and its Users will not:
4.1 connect to, access, read from, or write to any Customer System that Customer does not own or lack authority, consent, and lawful basis to access and modify;
4.2 use the Service to access or alter any third-party system in violation of that system's terms of service, license, API policy, or acceptable use policy, including restrictions on automated access, data extraction, or volume;
4.3 grant Credentials broader than necessary, or use the Service to escalate privileges within a Customer System beyond what Customer is authorized to hold; or
4.4 use the Service to transmit unsolicited bulk or commercial messages ("spam") or to conduct phishing, credential harvesting, or social-engineering activity through any connected system.
5. PROHIBITED USES — AI AND AUTOMATION
Customer and its Users will not:
5.1 use the Service in violation of the acceptable use policy or terms of any Model Provider;
5.2 submit content through the Service that Customer is not permitted to submit to the applicable Model Provider;
5.3 use the Service to intentionally generate content designed to deceive, defraud, or manipulate, or to impersonate a person or entity without authorization; or
5.4 deploy write-enabled Customer Logic that acts automatically on high-consequence systems (including financial, accounting, payroll, or master-data systems) without the testing, human review, and safeguards required by Section 3 and Section 4 of the Terms.
6. RESOURCE AND FAIR USE
Customer and its Users will not use the Service in a manner that imposes an unreasonable or disproportionate load on the Service or its infrastructure, that degrades or threatens to degrade the Service for other customers, or that exceeds purchased capacity, rate limits, or AI Usage Credits other than as the Service permits. Netridium may apply technical limits to protect the Service and other customers.
7. CUSTOMER RESPONSIBILITY
Customer is responsible for all activity under its account and its Users' credentials, whether or not authorized, and for the content, configuration, scheduling, and effects of all Customer Logic. Nothing in this AUP limits Customer's responsibilities or Netridium's disclaimers and limitations under the Terms, including Sections 3, 4, and 14.
8. ENFORCEMENT
Netridium may investigate suspected violations of this AUP and may, consistent with Section 2.7 of the Terms, suspend or limit access — immediately and without notice where circumstances reasonably require — to protect the Service, Netridium, other customers, or third parties. Netridium may also remove or disable offending Customer Logic or Connections, and may terminate for cause under Section 9 of the Terms for material or repeated violations. Netridium may cooperate with law enforcement and disclose information as required by law or valid legal process.
Netridium has no obligation to monitor Customer Logic or Customer's use of the Service, and any decision not to enforce a provision of this AUP in a particular instance is not a waiver of Netridium's right to enforce it later.
9. REPORTING ABUSE
To report a suspected violation of this AUP or a security concern, contact legal@netridium.com.
10. CHANGES
Netridium may update this AUP from time to time by posting a revised version with a new "Last updated" date. Material changes are subject to the notice provisions of Section 15.14 of the Terms. Continued use of the Service after the effective date constitutes acceptance of the updated AUP.
